Terms of Service

Please read these Terms of Service ("Terms") carefully before using VaultMTD (the "Platform"), operated by VaultMTD Ltd ("we", "us", "our"). By creating an account or using the Platform, you agree to be bound by these Terms.

1. About the Platform

VaultMTD is a cloud-based accounting and financial management platform designed for UK sole traders, landlords, self-employed individuals, and the accountancy practices that serve them. It provides tools for:

  • Double-entry bookkeeping and financial record-keeping
  • Submission of Making Tax Digital (MTD) Income Tax Self Assessment returns via HMRC's APIs
  • VAT return submission for VAT-registered businesses
  • Open Banking transaction import via TrueLayer
  • Property income tracking and tenant management
  • AI-assisted accounting and financial analysis

2. Eligibility and Account Registration

  • You must be 18 years of age or older to use the Platform.
  • You must be based in the United Kingdom, or using the Platform to manage UK tax obligations.
  • You are responsible for maintaining the confidentiality of your login credentials. We strongly recommend enabling two-factor authentication.
  • You must provide accurate, complete, and up-to-date information when registering. Providing false information may result in account termination.
  • One account per individual. You may not share account credentials with others, except within the multi-user team functionality provided by the Platform.

3. Permitted Use

You may use the Platform to:

  • Manage your own UK tax affairs, or those of clients on whose behalf you are authorised to act
  • Submit Making Tax Digital returns to HMRC using your own valid HMRC authorisation
  • Import bank transactions from accounts you own or are authorised to access

You must not:

  • Use the Platform to submit false, fraudulent, or misleading information to HMRC
  • Attempt to access other users' accounts or data
  • Reverse-engineer, decompile, or create derivative works of the Platform
  • Use the Platform in any way that violates UK law, including tax law, data protection law, or financial services law
  • Resell or sub-license access to the Platform without our written consent

4. Not Tax or Financial Advice

Important: The Platform is a software tool, not a tax adviser. Nothing on the Platform constitutes tax advice, financial advice, or legal advice. Tax calculations shown are estimates only. You are solely responsible for ensuring the accuracy of your tax returns and for seeking professional advice where required. We are not liable for any tax penalties, interest charges, or losses arising from your use of the Platform.

The AI assistant feature provides general accounting guidance only. Its outputs should be reviewed by a qualified accountant before reliance. AI-generated content may contain errors and does not constitute professional advice.

5. HMRC Integration

When you connect your HMRC account, you authorise the Platform to submit tax data to HMRC on your behalf using HMRC's Making Tax Digital APIs. You remain solely responsible for the accuracy and completeness of all data submitted. The Platform acts as an intermediary — we do not verify the accuracy of your accounting records before submission.

You must hold a valid HMRC Digital Service account and ensure you are enrolled in Making Tax Digital for Income Tax before submitting live returns through the Platform.

6. Open Banking

Open Banking connectivity is provided by TrueLayer, a regulated payment institution authorised by the Financial Conduct Authority. By connecting a bank account, you authorise TrueLayer to retrieve your transaction data on our behalf. We do not initiate payments and we do not have access to your bank login credentials. You can disconnect any bank connection at any time from your settings.

7. Data and Privacy

Our collection and use of your personal data is governed by our Privacy Policy, which forms part of these Terms. By using the Platform, you consent to our data practices as described in the Privacy Policy.

HMRC Record-Keeping: Financial records created on the Platform (journal entries, tax submissions, HMRC logs) are retained for a minimum of 7 years as required by the Taxes Management Act 1970. This applies even if you request account erasure or close your account.

8. Subscription and Billing

Details of current subscription plans, pricing, and billing terms are set out on our pricing page and within your account settings. We reserve the right to change pricing with at least 30 days' written notice. Refunds are handled on a case-by-case basis — contact us at support@vaultmtd.uk.

9. Availability and Service Levels

We aim to maintain high availability but do not guarantee uninterrupted access to the Platform. We reserve the right to perform maintenance, apply updates, or temporarily suspend access with or without notice. We are not liable for any losses caused by downtime, including missed HMRC submission deadlines.

You are responsible for submitting returns to HMRC by their statutory deadlines. We recommend not leaving submissions to the last day in case of technical issues.

10. Intellectual Property

All software, design, content, and functionality of the Platform is owned by VaultMTD Ltd or its licensors and is protected by copyright and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable licence to access and use the Platform for your own lawful purposes.

11. Termination

You may close your account at any time by contacting us. We may suspend or terminate your account if you breach these Terms, engage in fraudulent activity, or if required to do so by law. Upon termination, your personal data will be handled in accordance with our Privacy Policy and the HMRC record-keeping requirements described above.

12. Limitation of Liability

To the maximum extent permitted by law, VaultMTD Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including but not limited to loss of profits, tax penalties, or data loss — arising from your use of or inability to use the Platform.

Our total aggregate liability to you in connection with these Terms shall not exceed the total fees paid by you to us in the 12 months preceding the claim.

13. Changes to These Terms

We may update these Terms from time to time. Significant changes will be notified by email or in-app notification. Continued use of the Platform after the effective date of updated Terms constitutes acceptance of the revised Terms.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts of England and Wales.
